KENNETH
J. KUBACKI, has owned and operated Delaware Holding Services Inc.
(DEHOLD) since 1989. Since that time he has served as an officer and director
for more than 100 client holding companies. Prior to founding DEHOLD,
he worked as the partner in charge of the Wilmington office for D.G. Sisterson
& Co., Certified Public Accountants. He has seven years of corporate
treasury experience with a large family company in the steel industry
in Pittsburgh and nine years experience as an Audit Executive with Ernst
& Whinney (currently Ernst & Young) in Pittsburgh and Cleveland.
Mr. Kubacki is a member of various professional organizations both locally
and nationally including Financial Executives Institute, American Institute
of Certified Public Accountants, Delaware Society of Certified Public
Accountants, and Rotary International.

CLARA
A. PASCHITTI, a candidate for the J. H. Cohen Award for top scores
on the CPA Exam, received her B.S. in Accounting from Montclair State College.
She gained public accounting experience with Ernst & Young. Much of
her private experience was gained from an international internal audit position
with Johnson & Johnson. Ms. Paschitti has also held positions as Controller
of a subsidiary of US News and World Report and Accounting Manager of ADT.
Clara joined the DEHOLD Team as an Accountant late in 1994. She moved into
a management position a few years later and now serves as a integral member
of the Executive Team. Ms. Paschitti also serves as an officer for many
of DEHOLD's client holding companies.
